1. INTRODUCTION

1.1 Thank you for visiting JIFF platform. We kindly ask you to read the following Terms & Conditions carefully before creating a “Account” and/or using our “Services” on our “Platform” as you will be entering into a legal agreement with Warehouse Express Sdn. Bhd. with the company registration number of (1510669-W) and its affiliates (individually and collectively, “JIFF”, “we”, “us” or “our”). By accessing and/or using our platform, you hereby agree that you have read and understood the terms as well as to comply with the Terms & Conditions.

1.2 Any changes, modifications and addition of new features and/or services will be subjected under these Terms and Conditions.

1.3 The Terms & Conditions will be updated from time to time by JIFF. You must review the latest Terms & Conditions in the JIFF app(s) or on the Website before creating an account and/or using our services. For the “User” with a registered account on any or both of the JIFF app(s), it is your responsibility to regularly check the updated Terms & Conditions on the
platform. Your continued use of the platform and/or services provided by us implies your agreement to the updated Terms & Conditions.

1.4 JIFF is an online platform service provider that is designed for “Business Clients”, “Consumers” and “Agents”.

IF YOU DO NOT AGREE TO THE TERMS OF SERVICE, PLEASE DO NOT CREATE AN ACCOUNT AND/OR USE THE SERVICES PROVIDED BY JIFF THROUGH ANY PLATFORM INCLUDING JIFF, JIFF APP AND ANY WEBSITE OPERATED/HANDLED BY JIFF (WAREHOUSE EXPRESS SDN. BHD.). JIFF RESERVES THE RIGHT TO PROVIDE OR REFUSE ACCESS OF ANYONE TO BECOME OUR PLATFORM AND SERVICE USER.

2. DEFINITIONS OF WORDS USED IN TERMS

The following words used in the terms shall have the following meanings:

2.1 “Account” refers to a registered profile that is created by a user on the platform to gain access to the platform and use the services provided by JIFF.

2.2 “Services” refers to a range of offerings provided by JIFF to the users which includes but not limited to package pickup and drop-off, pick and pack, package handling, storage of goods, access to Smart Lockers, and other any additional services such as return, customer service, real-time tracking of goods through the platform.

2.3 “Platform” refers to a digital interface, including the mobile applications, website, or any other system provided by JIFF.

2.4 “User” refers to the consumers, business clients and agents, including delivery rider agent, storage agent, merchant agent and reseller agent.

2.5 “Business Clients” refers to any corporation, organization or business entity that partners with JIFF and/or uses one or more of the services provided by JIFF.

2.6 “Consumer” refers to any individual that registered an account and uses the services provided by JIFF to purchase, deliver or receive items.

2.7 “Agent” refers to any individual, company, or entity that uses the JIFF platform to provide services and earn income. This includes, but is not limited to, merchants, riders, storage agents, and resellers.

2.8 “Personal Data/Personal Information” refers to any information that identifies or can be used to identify an individual, provided to or collected by JIFF.

2.9 “Third-Party Service Providers” refers to external organizations or entities that engages with JIFF through a contract to deliver specific services which includes service management and support.

2.10 “Smart Lockers” refers to automated storage units that are used for securely storing and facilitating the retrieval of items by the users and this is included as one of the services provided by JIFF.

2.11 “Items” refers to goods, packages and products that can be purchased, transported, stored or handled through the services provided by JIFF in accordance with the permitted Terms and Conditions.

2.12 “Content” refers to any name, text, images, logos, videos, data or other materials that are posted or transmitted by JIFF or the users of the platform and the services provided through the platform.

3. DATA PRIVACY

3.1 User privacy is important to JIFF. Please refer to the Privacy Policy that has been designed to protect your rights as a user. The Privacy Policy includes a detailed explanation of how your “Personal Data” is collected and processed by us. All services provided through the JIFF platform are governed by this Privacy Policy.

3.2 By creating an Account and/or using the service provided through the platform, you are giving your consent for us to collect and process your data for the smooth operation of the platform and its related software.

3.3 We do not sell, rent or trade your personal data to any third party that is not associated with our platform or services. We may share your data with our trusted “Third-Party Service Providers” with strict confidentiality for the purpose of facilitating the services provided by us.

3.4 As part of the services, the personal data of other users can be under your possession. This term also includes the agreement of the user to never misuse the personal data of another user for any other purpose except for the only purpose it was made available to you.

4. ELIGIBILITY

4.1 You must be at least 18 years of age to create an Account and/or use the services provided by JIFF. Proof of identification will be used by us to authenticate your age.

4.2 Permission from a legal guardian is required for consumers under the legal age. The legal guardian must agree to the terms and conditions on the minor’s behalf. Any and all activities of the minor on the platform will be under the responsibility of the legal guardians solely.

4.3 You must be located in a country which is approved by JIFF to create an Account and/or use the platform and services provided by us.

5. ACCOUNT CREATION & MANAGEMENT

5.1 Only users who meet the eligibility criteria are able to create an Account on the platform. If you do not fit the eligibility criteria, you are not allowed to create an account and/or use the services provided by us.

5.2 You must provide the requested information and documents on the platform and ensure that all information provided is accurate, up to date and verifiable. Failure to do so may result in unsuccessful account creation, suspension or termination of the account. You are required to keep your account details accurate and up to date.

5.3 The process of account creation includes providing “Personal Information”, choosing a unique user identification and password. This will be used as the login credentials for users to get access to their account through our platform.

5.4 You are responsible for maintaining the confidentiality of your login credentials. Any activities recorded from your account will be considered as authorised activity unless reported to our customer service as an unauthorized access.

6. LIMITATION OF LIABILITY

6.1 JIFF will not be held accountable for any indirect, incidental, consequential, or punitive damages, which includes but not limited to (a) loss of profits, (b) loss of revenue, (c) loss of data, and/or (d) loss of business opportunities resulting from your use or inability to use our services.

6.2 JIFF will not participate as a party in any disputes you may have with other users or thirdparty service providers, including but not limited to advertisers, sponsors, merchants, resellers, storage agents and delivery riders.

6.3 As our service user, you understand and agree that if you may face any issues with our services, you are only allowed to notify the issue to our customer support, terminate your account or stop using our services.

6.4 Notwithstanding any of those terms, JIFF shall not limit or exclude its liability in the event of:

(a) Loss of Life or Bodily Injuries

(b) Fraudulent Conducts

(c) Non-Excludable Liabilities under any applicable laws.

7. USER CONDUCT

7.1 You are not allowed to engage in any of the following prohibited activities:

(i) Fraudulent activities which include but are not limited to impersonating another person or providing false information.

(ii) Spamming, Phishing, or performing unsolicited communications.

(iii) Abusive, harassing, or discriminatory behaviour towards the platform, the services provided by the platform or the users of the platform.

(iii) Distribution of malicious software, virus, or other malicious technology that risks the platform, the services provided by the platform, the consumers and business clients.

(iv) Misuse of the platform or the services provided through the platform which include but not limited to unauthorized access or importing data from the platform into files or spreadsheets without the permission of JIFF.

(v) Violation of all applicable laws, regulations, terms and conditions and third-party rights.

7.2 The platform shall remain to be used solely for its intended purpose only. You understand and agree to use the platform and the services provided through the platform for the intended purpose only.

7.3 Violations of these terms and conditions will result in immediate suspension or termination of your account, your use of the platform and the services provided to you through the platform.

8. SOFTWARE (OWN & THIRD-PARTY)

8.1 The platform and all its associated software, application and all related intellectual property belong to JIFF and are protected by applicable copyright laws. You are only given access to a limited, non-transferable license for personal or business use on the platform as specified in the terms and conditions. You agree and understand that you are not allowed to make any changes or modifications which includes but not limited to data scrapping and reverse engineering the platform and all its associated software, applications and intellectual properties without the permission of JIFF and/or Warehouse Express Sdn. Bhd.

8.2 You understand and agree that you do not have the ownership of any of the software owned by JIFF (Warehouse Express Sdn. Bhd.) or the third-party service providers. You agree to not use the software in any way that could violate these terms, the platform, the services provided through the platforms and other applicable laws.

8.3 Our platform may include the integration of third-party software or services that are necessary for the functioning of the platform and the services provided through the platform. These terms do not include the terms and conditions for the third-party services. The thirdparty services may be governed by their own terms and conditions. Your use of the platform
and the services provided through the platform indicates your agreement to comply with the terms of these third-party service providers.

8.4 JIFF reserves the right to change, modify, add or update features, software or services to the platform at any time upon notice. This action may compromise the functionality of the platform, and we shall not be held responsible in such instances.

9. PRODUCT & SERVICES

9.1 JIFF offers a wide range of products and services including but not limited to the platform, the services provided through the platform and the “Smart Lockers” service.

9.2 Access to the products and services offered by us are only given to successfully registered users on the platform.

9.3 JIFF reserves the right to make changes to the product offerings, pricing and services at any time without notice.

9.4 The products and services provided through our platform may include the association of third-party service providers. By using the products and services, you agree to the third-parties’ terms and conditions.

9.5 The Smart Lockers service is strictly intended for their designated purpose only:

(a) Temporary storage of “Items” that belong to subscribed users

(b) Temporary storage of items that are purchased by consumers from the App for selfcollection

(c) Readily available items storage for purchase and instant pickup by consumers

(d) Rental storage for items that belong to users of our platform

9.6 Users are not allowed to store any prohibited items in the Smart Locker and/or deliver any prohibited items using the Smart Lockers service. List of prohibited items include but not limited to:

(a) Illegal substances or items

(b) Hazardous materials

(c) Toxic substances or materials

(d) Pungent items

(e) Firearms or weapons that may cause bodily injuries to others

(f) Perishable goods

(g) Live animals

(h) Human body parts

(i) Items that are unsafe to the environment and people

9.7 You agree and understand that it is strictly prohibited to use the Smart Lockers for other than the intended use such as but not limited to the storing of illegal, hazardous or prohibited items. If you fail to comply with the intended use of the Smart Lockers, necessary actions as one or all will be taken upon you such as penalties, suspension and termination of account or services, and/or other actions under the applicable law.

10. SHIPPING & DELIVERY

10.1 The shipping and delivery services provided through our platform are solely intended for the purpose of transporting client’s inventory, customer purchased goods and customer products to the designated locations.

10.2 Items will be delivered only to the locations specified by the business clients and consumers through the platform.

10.3 For business clients, merchants and consumers, you agree and acknowledge that it is your responsibility to ensure the accuracy of the shipping or delivery address provided. JIFF will not be liable for any delays or loss you may incur due to the incorrect or incomplete delivery information.

10.4 Only items that meet the acceptance criteria of JIFF will be eligible for shipping and delivery services:

(i) Items that are not listed as illegal, harmful or prohibited under the applicable law.

(ii) Items that are not exceeding the size, dimension, or weight of the selected vehicle type.

(iii) Items that are packed properly or not loosely packed.

10.5 We reserve the right to decline the shipping or delivery request for items that are found to be against the acceptance criteria.

10.6 Agents can decline the shipping or delivery request for items that are found to be against the acceptance criteria.

10.7 Delivery schedules are subject to change based on unforeseen circumstances such as weather, peak hour and other delays that are beyond our control.

11. PAYMENT

11.1 All prices listed for the product and services are in Malaysian Ringgit (MYR) and are subject to change. The inclusion of taxes, shipping fees, or additional charges will be applied at the final payment.

11.2 Business Clients and Consumers are required to make a full payment of the total charges for all services used from our platform. Payment must be made through the platform using the payment method selected at the time of booking.

11.3 All or any payment made is non-refundable after completion of the services.

11.4 The payment methods that are made available to users via App include automated payment methods such as credit card, debit card, e-Wallets or FPX. The availability of certain payment methods may be different based on the type of services requested or the role of the users.

11.5 JIFF will not be held liable for any loss or damage to users resulting from the shipping information and/or payment information provided by the user through the platform or wrong remittance related to the payment of items purchased through the platform by the consumer.

12. CANCELLATION, RETURN AND REFUND

12.1 You acknowledge that cancellation for services can only be made prior to order processing, shipment or delivery. Cancellation of any services must be notified to us through the platform.

12.2 Cancellation cannot be made if the service request has already been processed, shipped or delivered.

12.3 Users must notify us via the platform for any purchased item return within the given timeframe from the date of the item received.

12.4 Refund for an item will only be released after the merchant or JIFF have safely received the item from the consumer.

12.4 The approval of cancellation, return and refund requests by business clients and consumers will be made by JIFF, in its sole discretion.

12.5 Any cancellation, return and refund that was done offline will not be recorded or monitored by JIFF.

13. INTELLECTUAL PROPERTY RIGHTS

13.1 JIFF and its licensors shall own all related intellectual property rights in and to the platform, the services provided through the platform, any suggestions, ideas, feedback, recommendations or other information provided by you and other parties relating to the same.

13.2 Under protected copyright laws, all “Content” but not limited to name, text, graphics, icons, logo, images, software and other materials on the platform and in the services provided by us, is the property of JIFF and its licensors.

13.3 You agree and acknowledge that you are not allowed to copy, reproduce, transmit, distribute, perform, display or create derivative works using or based on any contents from the platform or the services provided by us without the express consent of the JIFF or its licensors.

13.4 You are not allowed to copy, post, reproduce or transmit any contents that infringes the copyright of third-parties.

13.5 If you are an intellectual property right owner, and

14. TERMINATION

14.1 You must acknowledge and agree that you stand liable for any incomplete transaction that is commenced either before or after such termination.

14.2 JIFF is not liable for any loss or damage incurred due to the actions taken solely by users in their account termination.

14.3 JIFF reserves the right to terminate your account and your access to the platform or the services provided to you through the platform at any time, without notice for reasons such as but not limited to:

(i) Violation of the terms and conditions.

(ii) Any activity deemed harmful to JIFF, other users of the platform or our third-party service providers.

14.4 You acknowledge that upon account termination; you will lose access to the platform and the services provided through the platform.

15. GOVERNING LAWS

15.1 These terms and conditions shall be governed by and construed in accordance with laws of Malaysia.

15.2 Any disputes, controversies, or claims arising out of or in connection to these terms and conditions, including its validity, breach or termination shall be resolved by arbitration or courts of Malaysia.

15.3 Users are responsible for complying with all applicable laws in connection with their use of the platform and the services provided through the platform. The applicable laws include, but not limited to consumer protection laws, intellectual property laws, and local trade regulations.
